Acceptance of Terms
By accessing or using the services provided by Vocarel ("Company," "we," "us," or "our"), including our website, platform, APIs, and any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you and Vocarel. By creating an account, accessing the platform, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
We reserve the right to update these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
Description of Service
Vocarel provides an AI-powered customer communication platform that enables businesses to deploy intelligent agents across multiple channels, including web chat, SMS, phone, and email. The Service includes:
- AI Communication Agents: Automated conversational agents trained on your business data to handle customer inquiries, appointment scheduling, and support requests.
- Multi-Channel Deployment: Integration with web chat widgets, SMS (via Twilio), phone systems, and email for seamless customer engagement.
- Knowledge Base Management: Tools to upload, manage, and train AI agents on your business-specific content and documentation.
- Conversation Analytics: Dashboards and reporting tools to monitor agent performance, customer satisfaction, and communication metrics.
- Website Builder: AI-assisted website generation tools for creating landing pages and business websites.
- Embeddable Chat Widget: A customizable chat widget that can be embedded on any website to provide real-time AI-powered customer support.
The Service is provided on a subscription basis, and certain features may be available only under specific subscription tiers.
Account Registration and Security
To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to:
- Provide truthful and accurate registration information.
- Maintain and promptly update your account information to keep it accurate and current.
- Maintain the security of your account by not sharing your credentials with third parties.
- Notify Vocarel immediately of any unauthorized use of your account or any other breach of security.
- Accept responsibility for all activities that occur under your account, whether or not authorized by you.
Vocarel reserves the right to suspend or terminate accounts that violate these Terms, contain false information, or have been inactive for an extended period.
Subscription Plans and Billing
Vocarel offers multiple subscription tiers to accommodate different business needs:
- Starter Plan: Includes core AI agent functionality, limited conversation volume, and standard support.
- Growth Plan: Includes advanced features, higher conversation limits, and additional integrations.
- Scale Plan: Custom-tailored solutions with unlimited conversations, dedicated support, custom integrations, and service-level agreements.
All subscription fees are billed in advance on a recurring basis (monthly or annually, depending on the plan selected). Fees are non-refundable except as expressly stated in these Terms or as required by applicable law.
You authorize Vocarel to charge the payment method on file for all applicable fees. If payment fails, we may suspend or restrict access to the Service until payment is received. We reserve the right to change subscription pricing with 30 days' advance notice.
You may upgrade, downgrade, or cancel your subscription at any time through your account dashboard. Cancellations take effect at the end of the current billing period. No partial refunds are provided for unused portions of a billing cycle.
Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Service to send spam, unsolicited messages, or communications that violate applicable anti-spam laws (including the CAN-SPAM Act and TCPA).
- Use the Service to harass, threaten, or intimidate any person or entity.
- Upload or transmit any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
- Attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service.
- Use the Service to impersonate any person or entity, or to misrepresent your affiliation with any person or entity.
- Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
- Use automated means (including bots, scrapers, or crawlers) to access the Service, except through our published APIs.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Use the AI agents to provide medical, legal, financial, or other professional advice without appropriate disclaimers and professional oversight.
Vocarel reserves the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this policy, including removing content, suspending accounts, and reporting violations to law enforcement.
Intellectual Property
The Service, including its original content, features, functionality, design, and underlying technology, is and remains the exclusive property of Vocarel and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
Our trademarks, service marks, logos, and trade names may not be used in connection with any product or service without the prior written consent of Vocarel.
You retain ownership of all content, data, and materials that you upload to or create through the Service ("Your Content"). By using the Service, you grant Vocarel a limited, non-exclusive, worldwide license to use, process, and display Your Content solely for the purpose of providing and improving the Service.
Data Ownership and Licensing
You own all data you provide to the Service, including but not limited to knowledge base content, customer conversation data, business information, and configuration settings ("Your Data").
Vocarel does not claim ownership of Your Data. We process Your Data solely to provide the Service to you, as described in our Privacy Policy.
You grant Vocarel a limited license to:
- Process and store Your Data as necessary to provide the Service.
- Use anonymized and aggregated data derived from Your Data to improve the Service, develop new features, and conduct research, provided such data cannot reasonably be used to identify you or your customers.
- Generate AI model outputs based on Your Data to respond to your customers' inquiries on your behalf.
Upon termination of your account, you may request export of Your Data within 30 days. After this period, Vocarel may delete Your Data in accordance with our data retention policies.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOCAREL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
- Loss of profits, revenue, data, or business opportunities.
- Cost of procurement of substitute goods or services.
- Any damages arising from AI agent responses, including incorrect, misleading, or inappropriate responses provided to your customers.
- Service interruptions, downtime, or data loss.
- Unauthorized access to or alteration of your data or transmissions.
IN NO EVENT SHALL VOCAREL'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE AMOUNT PAID BY YOU TO VOCAREL DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
YOU ACKNOWLEDGE THAT AI-GENERATED RESPONSES MAY NOT ALWAYS BE ACCURATE, COMPLETE, OR APPROPRIATE. VOCAREL DOES NOT GUARANTEE THE ACCURACY OF AI AGENT OUTPUTS AND RECOMMENDS THAT YOU REVIEW AND MONITOR AI AGENT INTERACTIONS REGULARLY.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.
Termination
Vocarel may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.
Upon termination:
- Your right to use the Service will immediately cease.
- All licenses granted to you under these Terms will terminate.
- You remain liable for any outstanding fees incurred prior to termination.
- You may request export of your data within 30 days of termination.
- Vocarel may delete your account data after the 30-day export window, subject to legal retention requirements.
You may terminate your account at any time through your account dashboard or by contacting our support team. Termination by you does not entitle you to a refund of any prepaid fees.
Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Modifications to Terms
Vocarel reserves the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
We will notify you of changes through one or more of the following methods:
- Email notification to the address associated with your account.
- A prominent notice on our website or within the Service.
- An in-app notification upon your next login.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
You agree that any arbitration shall be conducted on an individual basis and not as a class action or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Notwithstanding the foregoing, Vocarel may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
